1. Introduction

These Terms of Service (“Terms”) govern your use of the verain.ai website (“the Website”), operated by Verain B.V. (“Verain”, “we”, “us”, “our”), a company registered in Amsterdam, the Netherlands (KvK 42046326).

By accessing or using the Website, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Website.

2. The website

The Website is an informational and marketing site. It describes Verain, our platform, and our products, and lets you contact us or request a demo. It does not provide access to our products and is not itself the product.

3. Use of the website

You agree to use the Website lawfully and not to:

• Use it in any way that breaches applicable law or regulation, or infringes the rights of others.
• Attempt to gain unauthorised access to the Website, its servers, or any connected system.
• Introduce malware, or attempt to disrupt, overload, or impair the Website (including through automated scraping or abusive request volumes; the contact endpoint is rate-limited and may return errors under excessive load).
• Misuse the contact form, for example to send spam or unsolicited commercial messages.

We may restrict or withdraw access to the Website, or remove content, where reasonably necessary to protect it or its users.

The Website and its content, including text, design, graphics, the “Verain” name and logo, and the “One Brain, Many Minds” wording, are owned by or licensed to Verain B.V. and are protected by intellectual property laws.

You may view and share links to the Website for your own informational and business purposes. You may not copy, reproduce, modify, or republish its content for commercial purposes without our prior written permission.

5. Information and forward-looking statements

The information on the Website is provided for general information only and on an “as is” basis. While we take care to keep it accurate and current, we make no warranty that it is complete, error-free, or up to date, and it does not constitute professional, legal, or financial advice.

Some statements describe products or capabilities that are in development or planned (for example, items shown as “in development” or “on the roadmap”). These describe our current intentions and are not commitments, guarantees, or binding offers. Product availability, features, and timelines may change.

Access to and use of Verain’s products (such as Verain Finance) is governed by a separate written agreement between you and Verain, which prevails over these Terms for that product. Nothing on the Website constitutes a binding offer, a price quote, or a contract for any product.

The Website may link to third-party websites or services (for example, our LinkedIn page, the sign-in link to our product, or other external resources). We provide these links for convenience and are not responsible for the content, availability, or practices of those third parties. Your use of them is at your own risk and subject to their terms.

8. Limitation of liability

To the maximum extent permitted by applicable law, Verain B.V. is not liable for any indirect, incidental, special, or consequential loss, or any loss of profits, data, or business, arising from your use of (or inability to use) the Website.

Where Verain is nonetheless liable, that liability is limited to direct damage. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud. Nothing in these Terms affects your mandatory rights under applicable consumer protection law.

Our handling of personal data in connection with the Website is described in our Privacy Policy, which forms part of these Terms.

10. Changes to these terms

We may update these Terms from time to time. The “Effective date” at the top of this page shows when they were last revised. Your continued use of the Website after an update constitutes acceptance of the revised Terms.

11. Governing law and jurisdiction

These Terms are governed by the laws of the Netherlands. Any dispute arising from these Terms or your use of the Website will be submitted to the competent court in Amsterdam, the Netherlands, without prejudice to any mandatory rights you may have under the law of your country of residence.
